This “Terms and Conditions Agreement” (the “Agreement”) sets forth the legally binding terms governing your access to and use of the XNSPY website, software applications, and any related products or services (collectively, the “Services”). References to “we,” “us,” or “our” in this Agreement mean XNSPY. By accessing or using the Services, you (the “User”) acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to these terms, you should immediately discontinue use of the Services.

We reserve the right, at our sole discretion, to modify, amend, or update this Agreement at any time without prior notice. Any such changes shall take effect immediately upon publication on the website. Your continued access to or use of the Services following the posting of any amendments constitutes your acknowledgment and acceptance of the revised Agreement. This Agreement may be amended only in accordance with this paragraph.

Disclaimer of Warranties

The Services are provided by XNSPY on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, XNSPY makes no representations or warranties, whether express or implied, concerning the use or results of the Services, including, but not limited to, their accuracy, reliability, correctness, or suitability.

XNSPY shall not be liable for any interruption, suspension, or unavailability of the Services. XNSPY disclaims all warranties related to the Services or any information provided therein, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Certain jurisdictions do not permit the exclusion of implied warranties; accordingly, some of the foregoing disclaimers may not apply to you.

Limitation of Liability

XNSPY shall not be liable for damages of any kind. In particular, XNSPY shall not be responsible for:

• Any special, indirect, consequential, or incidental damages, including, without limitation, loss of profits, loss of revenue, loss of use, or similar losses, arising out of or in connection with the Services;
• Any damages arising under contract, tort, negligence, statute, equity, or any other legal theory;
• Any damages incurred, even if XNSPY has been advised of the possibility of such damages.

Indemnification

The User agrees to indemnify and hold XNSPY, including its partners, subsidiaries, affiliates, officers, and employees, harmless from and against any claims, demands, or liabilities, including reasonable attorneys’ fees and costs, arising out of or related to:

• The User’s access to or use of the Services;
• Any violation or breach of this Agreement by the User;
• Any infringement of intellectual property or other rights of any person or entity by the User;
• Any acts or omissions of other users accessing the Services through the User’s device, account, or computer.

Modifications and Interruption to Services

XNSPY reserves the right to modify or discontinue the Services with or without notice to the User. XNSPY shall not be liable to the User or any third party for any such modification or discontinuation of the Services. The User acknowledges and agrees that XNSPY does not guarantee continuous, uninterrupted, or secure access to the Services, and that the operation of the Services may be affected or interrupted by factors beyond XNSPY’s control.

Links to Other Sites

Users may encounter advertising or other content on our Site that links to the websites or services of our partners, suppliers, advertisers, sponsors, licensors, or other third parties. XNSPY does not control the content or links on these third-party sites and is not responsible for their practices. Such sites and services, including their content and links, may change from time to time and may maintain their own privacy and customer service policies. Your use of, or interaction with, any third-party site, including those linked from our Site, is governed by that site’s terms and policies. Any personal information you provide to such sites is subject to their privacy practices. We strongly encourage you to review the privacy policies of any site you visit.

Governing Law

This Agreement, including any rules, policies, or guidelines incorporated herein by reference, shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. XNSPY makes no representation that the Services are appropriate, legal, or available for use in jurisdictions outside of Cyprus.

Software License Terms

XNSPY retains all copyrights and other proprietary rights in and to the XNSPY software applications (the ‘Software’). We hereby grant you a license to use one copy of the Software on any single device, provided the Software is in use on only one device at any time.

You may not (and may not allow anyone else to):

• Copy the Software, except for keeping a single backup copy, or use the Software in any way not expressly permitted by the license granted above;
• Distribute, rent, lease, or sublicense the Software, in whole or in part, in any manner;
• Modify, adapt, translate, or create any derivative work based on any part of the Software;
• Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software, or any underlying algorithms, user interface techniques, or other concepts embodied therein;
• Transmit the Software over a network and/or by any electronic means.

This license is non-transferable.
